TERMS AND CONDITIONS OF SALE

 

1. Applicable Conditions

  • 1.1: These Terms and Conditions govern all purchases made by customers on the webshop, which is owned and operated by Skinova Medspa.

  • 1.2: The terms apply to all products sold, including cosmetics, medical devices, pharmaceuticals, and disposables.

  • 1.3: The webshop only accepts orders from medical professionals (doctors, clinics, hospitals, wholesalers) and does not accept orders from private individuals.

  • 1.4: Customers are advised to thoroughly read the Terms and Conditions before making a purchase.

2. Orders

  • 2.1: Customers can place orders 24/7 on the webshop, and the company will process orders within 48 working hours.

  • 2.2: After placing an order, the customer will receive an order overview by email. However, this is not an order confirmation.

  • 2.3: The binding agreement is made when the customer receives an email with an order confirmation, which includes the shipment notification, invoice, and packing slip.

  • 2.4: Once the customer places an order, it becomes binding.

3. Availability of Products

  • 3.1: While Skinova Medspa aims to keep all products in stock, it cannot guarantee availability. If an item is unavailable, the customer may either accept an alternative product or be notified that the order cannot be fulfilled.

  • 3.2: If the customer rejects the alternative product or the order can’t be fulfilled, the company will issue a refund if payment has been made.

4. Customer Information

  • 4.1: It is the customer’s responsibility to ensure that all information required for order processing and delivery is correct.

  • 4.2: If any information changes, Skinova Medspa reserves the right to verify the details and re-evaluate the customer’s account within 72 hours.

5. Delivery and Delay

  • 5.1: Products in stock will be shipped within the same or the following working day. Out-of-stock items will ship within 3-6 working days.

  • 5.2: All orders are shipped via DHL Express, and customers will receive a tracking number.

  • 5.3: The maximum delivery time is 60 days from the order date, though typical delivery to Europe takes 1-3 working days.

  • 5.4: If the delivery is delayed more than 6 working days, Skinova Medspa will notify the customer, and the remedy for such delay is either a credit or refund.

  • 5.5: Skinova Medspa is not liable for errors in delivery caused by incorrect or impossible-to-deliver addresses.

  • 5.6: Customers cannot pick up orders directly from the warehouse in Copenhagen.

6. Price and Payment

  • 6.1: Product prices are as quoted on the webshop, exclusive of VAT, taxes, and delivery costs. Delivery costs will be added to the total amount.

  • 6.2: Prices may change at any time but will not affect orders for which the customer has already received an order confirmation.

  • 6.3: In case of a pricing error, Skinova Medspa will verify prices during dispatch and either charge the correct price or cancel the order.

  • 6.4: Skinova Medspa is not obligated to provide products at an incorrect lower price if the error is clear.

  • 6.5: Payment must be made before the order is processed and delivered.

  • 6.6: Skinova Medspa does business only with EU customers who have a valid VAT number. Prices are listed in euros, and payment is accepted by credit card (Visa, MasterCard, Maestro).

  • 6.7: International orders paid with a company card or from outside the EU may incur an extra fee.

  • 6.8: Customers wishing to pay via bank transfer (TT) must contact Skinova Medspa directly for bank details.

  • 6.9: Credit card payments are subject to validation checks, and Skinova Medspa reserves the right to delay or cancel orders if fraud is suspected.

7. Compliance with Applicable Laws and Regulations

  • 7.1: Skinova Medspa does not assume liability for compliance with the customer’s local laws and regulations.

  • 7.2: Customers are responsible for ensuring compliance with international and local legislation when handling the products.

  • 7.3: Customers must obtain and maintain all necessary permits, licenses, and authorizations for import, marketing, and distribution of the products.

  • 7.4: Customers are responsible for post-marketing obligations, including market surveillance, adverse event reporting, complaints handling, and product recalls.

  • 7.5: Customers must comply with any handling or selling restrictions attached to the products and pass on these restrictions to any subsequent buyers.

8. Defects

  • 8.1: No warranties are made by Direct Derma Supplies regarding the product, except as stated in the Terms and Conditions.

  • 8.2: The customer must report defects in writing within 3 days after receipt of the product.

  • 8.3: The customer must inspect the products upon delivery.

  • 8.4: If defects are reported properly, the company may repair, replace, or refund the product, at its discretion.

  • 8.5: The company will not reimburse shipping or handling costs for returns.

  • 8.6: Refunds are issued to the original payment method and may take up to 29 working days.

  • 8.7: The company decides the return method and is not responsible for damage during the return shipment.

9. Products Damaged in Transit

  • 9.1: Claims for damages must be reported within 3 days of delivery.

  • 9.2: Claims must include relevant photos and a report from the carrier.

  • 9.3: The customer must cooperate with the company in establishing claims against the carrier.

  • 9.4: The only remedy for damaged products is a replacement or refund at the company’s discretion.

10. Liability

  • 10.1: Liability is governed by Danish law.

  • 10.2: The company is not liable for indirect damages (e.g., loss of profit or production).

  • 10.3: The total liability is limited to the purchase price of the product.

  • 10.4: Claims must be made within 3 months after delivery.

11. Third Party Rights

  • 11.1: The company is not liable for any infringement of intellectual property rights by the products.

  • 11.2: Customers must inform the company if they are made aware of any intellectual property claims.

12. Product Liability

  • 12.1: The company is not liable for bodily injury or damage to other products unless required by mandatory law.

  • 12.2: The company is not liable for damage to property once the product has been delivered to the customer.

  • 12.3: The company’s liability is limited to the purchase sum of the product in question, except in cases of personal injury.

  • 12.4: Customers must indemnify the company if it incurs liability towards third parties that the customer is responsible for.

13. Adverse Event Reporting and Recall

  • 13.1: Customers must report any adverse events within 2 days.

  • 13.2: Customers must notify the company of any other important information regarding the products.

  • 13.3: The company will notify the customer of any recalls and provide instructions for returning affected products.

14. Taxes and Other Payments

  • 14.1: The customer is responsible for any taxes or fees related to the purchase and sale of the products.

  • 14.2: The company is not liable for any taxes or fees imposed by the authorities in the recipient country.

  • 14.3: The company is not responsible for delays caused by customs authorities.

15. Extraordinary Circumstances

  • The company is not liable for delays or non-performance due to circumstances outside its control.

16. Governing Law and Venue

  • 16.1: Danish law governs these Terms and Conditions.

  • 16.2: Disputes will be settled by the Danish courts, preferably in Frederiksberg.

  • 16.3: For customers in countries with arbitration agreements with Denmark, disputes will be handled through arbitration in Copenhagen.

  • 16.4: The company can initiate legal proceedings in the customer’s home jurisdiction.
